Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you and REN AI Technologies Private Limited ("Nimitai", "we", "us"). By creating an account, accessing the Nimitai platform, or using any Nimitai service, you agree to these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have that authority, do not use Nimitai.

2. The service

Nimitai is an AI meeting intelligence platform. It joins sales calls as a notetaker bot, records and transcribes conversations, and generates coaching insights including talk ratio analysis, objection detection, buying signal identification, and call summaries.

Nimitai is currently in private beta. Features, pricing, and availability may change. We will give reasonable notice of material changes.

3. Accounts and access

• You must be at least 18 years old and capable of forming a binding contract to use Nimitai.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at info@nimitai.com if you suspect unauthorised access.
• One seat = one named user. Sharing accounts or credentials between multiple individuals is not permitted.

4. Recording consent — your responsibility

This section is important. By using Nimitai to record meetings, you accept sole responsibility for compliance with all applicable recording consent laws.

• One-party vs. two-party consent: Recording laws differ by jurisdiction. In some US states (California, Florida, Illinois, among others) and many countries, you need the consent of all parties on a call before recording. You are solely responsible for determining which laws apply to your calls and for obtaining appropriate consent.
• Nimitai's notetaker bot: The bot announces its presence in the meeting via its display name. This alone does not constitute legal notice in all jurisdictions. You must implement whatever additional consent mechanism your jurisdiction requires.
• Indemnification: You agree to indemnify and hold Nimitai harmless from any claim, liability, or expense arising from your failure to comply with recording consent laws.

5. Acceptable use

You may not use Nimitai to:

• Record conversations without the knowledge or consent of participants where required by law
• Violate any applicable law, regulation, or court order
• Record private individuals without their consent for purposes of harassment, stalking, or surveillance
• Reverse engineer, decompile, or attempt to extract the source code of the Nimitai platform
• Access Nimitai's systems in any way not expressly permitted by these Terms (including scraping, crawling, or automated access)
• Resell, sublicense, or white-label the Nimitai service without written permission
• Transmit malware, spam, or any content that could damage Nimitai's systems or other users

6. Pricing and payment

• Per-seat pricing: Nimitai is priced per seat (per named user). Adding users to your workspace requires purchasing additional seats.
• Billing cycle: Subscriptions are billed monthly unless otherwise agreed in writing.
• Payment: Payments are processed by our third-party payment processor. By providing payment details, you authorise us to charge the applicable fees.
• Refunds: We do not offer refunds for partial months. If you cancel, your access continues until the end of your current billing period.
• Price changes: We will give at least 30 days' notice of any price increase. Your continued use after the notice period constitutes acceptance of the new price.
• Taxes: Prices exclude applicable taxes (GST, VAT, sales tax). You are responsible for paying applicable taxes.

7. Your data

You own your data. By uploading call recordings or connecting integrations to Nimitai, you grant us a limited licence to process that data for the purpose of providing the service to you. We do not claim ownership of your content.

8. Intellectual property

The Nimitai platform, including its software, AI models, user interface, and documentation, is owned by REN AI Technologies Private Limited and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any rights in Nimitai's intellectual property beyond the limited right to use the service as described here.

9. Confidentiality

Each party agrees to keep the other's confidential information confidential and to use it only for the purposes of the service. Confidential information does not include information that is publicly known, independently developed, or disclosed with consent.

10. Disclaimer of warranties

Nimitai is provided "as is" and "as available". We make no warranty that the service will be uninterrupted, error-free, or that transcriptions and AI analysis will be perfectly accurate. Transcription accuracy varies by audio quality, accents, and background noise. You should not rely solely on Nimitai's output for legal, compliance, or contractual purposes without independent verification.

11. Limitation of liability

To the maximum extent permitted by law, Nimitai's aggregate liability to you for any claim arising out of or related to these Terms or the service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

12. Termination

• By you: You can cancel your subscription at any time from within the product or by emailing info@nimitai.com. Access continues to end of the current billing period.
• By us: We may suspend or terminate your account if you violate these Terms, fail to pay, or for any other reason with 30 days' notice (or immediately in cases of serious breach, illegal activity, or security risk).
• Effect of termination: Upon termination, your right to access the service ends. We will delete your data in accordance with our Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in Chandigarh, India, unless you are a consumer entitled to protection under the laws of your own country.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Your continued use of Nimitai after the effective date constitutes acceptance.
